Notice To Members.

Members are hereby informed that the Company has on June 26, 2006. completed the dispatch of a Notice under section 192A of the Companies Act, 1956, along with the postal ballot form and a self addressed reply envelope (for which postage will be paid by the Company) in relation to a Special Resolution under section 17 of the Companies Act, 1956, seeking member's approval for Alteration of the Objects Clause of the Memorandum of Association of the Company, as set out therein.

The Board of Directors of the Company has appointed Mr. Vijay Mehta, Chartered Accountant, Mumbai, as the Scrutinizer for conducting the Postal Ballot in a fair and transparent manner. Members are requested to note that the postal ballot form duly completed and signed should reach the scrutinizer not later than the close of working hours on Wednesday, July 26, 2006. All postal ballot forms received after the said date will be treated as if reply from such members has not been received.

A member may request for a duplicate postal form, if so required.
